BY-LAWS


ARTICLE I - GENERAL

Section 1. Name: The name of the organization shall be the "Bollinger County Chamber of Commerce."


Section 2. Mission: "The mission of the Bollinger County Chamber of Commerce is to advance and promote the economic environment for business, and to advocate responsive government and quality education, while preserving Bollinger County's unique community characteristics."


To accomplish this mission, the Bollinger County Chamber of Commerce shall adhere to these

guidelines:


Encourage business and community prosperity by promoting economic programs designed to strengthen and enhance the financial opportunities for all businesses within Bollinger County.


Serve as an effective non-partisan, non-sectarian voice for business on legislative, business, social, governmental and community issues affecting Bollinger County.


Identify and overcome obstacles that are detrimental to the business climate and community growth.


Support civic, social, and cultural programs designed to increase the functional and aesthetic values of the community.


Promote lifelong learning.


Section 3. Office: The Bollinger County Chamber of Commerce is incorporated under the laws of Bollinger County and its principal office shall be at such place in Bollinger County and any portion of Bollinger County not served by an existing Chamber of Commerce.


Section 4. Limitation: The Bollinger County Chamber of Commerce shall observe all local, state, and federal laws which may apply to a non-profit organization as defined in section 501 (c)

(6) of the Internal Revenue Code.


ARTICLE IL-MEMBERSHIP

Section 1. Eligibility: Any reputable person, sole-proprietor, association, corporation, partnership or estate shall be eligible for membership in the Bollinger County Chamber of Commerce.


Section 2. Investment: Annual membership investment shall be at the rates or formula as may be from time to time prescribed by the Executive Committee payable in advance or in such other

installments or for such other periods as the Board may from time to time determine.


Section 3. Individual: Any person not engaged in a business within Bollinger County who is interested in Bollinger County community affairs shall be eligible for individual membership in

the Chamber.


Section 4. Firm/Corporate: A firm, corporation, partnership, or estate that sponsors an active

membership or more than (1) individual membership shall be designated a "member firm.' One

(1) individual member sponsored by each member firm shall be identified as a "Designated Voting Representative." Member firms may display evidence of their support for the Chamber at

their places of business, but all other privileges of membership, including the right to vote, are

vested with the designated voting representative. Member firms may request the transfer of active memberships sponsored by them to new individuals whose names may be presented to the

Board of Directors for election.


Section 5. Associations: Any association, club or non-profit organization that is interested in

Bollinger County community and/or commercial development shall be eligible for membership

in the Chamber.


Section 6. Voting: Each paid member, individual, associate, life or honorary shall be entitled to one vote. A firm or corporation may designate by notice the person entitled to cast the vote in

their behalf.


Section 7. Termination:

Any member may resign from the Chamber upon written request to the President; however, such resignation shall not relieve a member from any arrearage of membership investments,

subscriptions or their indebtedness to the Chamber.


Any member may be expelled by a two-thirds vote of the Executive committee at a regularly scheduled meeting thereof for conduct prejudicial to the aims or reputation of the Chamber; after notice and opportunity for a hearing before the Executive Committee.


Section 9. Reinstatement: The Executive Committee may reinstate any former member of the Chamber upon terms and conditions as it may deem fit.


ARTICLE III-MEETINGS


All meetings shall follow Robert's Rules of Order for the conduct of meetings.


Section 1. Monthly: The monthly meeting of the Chamber shall be held at such time and place as shall be determined by the Executive Committee.


Section 2. Additional:

The Executive Committee shall hold committee meetings at the discretion of the Chairperson.


Section 3. Quorums:

Ten (10) members shall constitute a quorum at any regular or special meeting of the Chamber.


Any expenditures for Chamber activities outside of recurring monthly operating charges in excess of $300 must be approved by the Executive Committee and presented for vote at the next monthly regular meeting.


Section 4. Notice, Agenda, Minutes: Written notice of all Chamber meetings must be given at least three (3) days in advance unless otherwise stated. An advance agenda and

minutes must be prepared for all meetings. In cases of emergency, of which the Chairperson shall be the judge, special meetings may be held on twenty-four (24) hours'

notice.


ARTICLE IV - OFFICERS AND COMMITTEES


Section 1. Officers shall consist of the President, Vice-President, Secretary andTreasurer.  Officers shall be elected for one-year terms with President and Secretary will be elected on even years, Vice President and Treasurer elected on odd years.


Section 2. To serve on the Bollinger County Chamber of Commerce Board, membership dues must be paid the month prior to elections and the individual must have been present

at least 6 of the previous year's normal meetings.


Section 3. Election process, to vote in the Bollinger County Chamber of Commerce Board elections membership dues must be paid by the end of the month prior to the election and

the voting member must have been present at the regular monthly meeting prior to the election.


Section 3. If a vacancy occurs among executive officers during the year the Executive Committee shall elect a member to fill the position till the next election.


Section 4. The President may appoint special committees to handle projects outside of the normal Chamber routine. The President is ex-officio of all committees.


ARTICLE V - AMENDMENTS

These bylaws may be amended by an affirmative vote of two thirds of the members present at a regular meeting after they have been posted for thirty days.


The Chamber membership adopted these by-laws on May 12, 2016.
